  • CoBlack is an AI-powered platform that helps users discover and connect with job opportunities that match their professional goals and preferences. Our technology uses advanced language models to find job postings based on the information you provide—such as your experience, desired role, location, and salary range. When you register as a user, you gain access to a curated list of job opportunities that you can review, edit, or remove at any time. You can also provide feedback to help us improve the relevance of future matches.

    CoBlack Corp is not an employer, recruiter, staffing firm, or employment agency. We do not make hiring decisions or participate in any employment negotiations between users and employers. CoBlack does not verify, endorse, or control the accuracy or quality of information provided by job seekers or employers.

    If you need special accommodations or alternative application methods for any job listing, you should contact the employer directly.

  • By using CoBlack’s services, you confirm that you are legally old enough to form a binding contract under the laws of your state or country. You also confirm that you have the legal right and authority to agree to these Terms of Use.

    If you are not legally able to enter into contracts, you may not use CoBlack’s platform or submit any information to us.

  • Your privacy matters to us. When you use CoBlack, the personal information you provide is handled in accordance with our Privacy Policy, which explains how we collect, use, and protect your data, as well as the choices you have about how it’s used.

    By using CoBlack’s services, you agree to the terms of our Privacy Policy, which is incorporated into these Terms of Use by reference. We encourage you to review it carefully.

  • CoBlack uses cookies and similar technologies to make our website and platform work efficiently and to improve your experience. Cookies are small files that your browser stores on your device when you visit our site.

    We use these technologies to:

    1. Remember your preferences and login sessions

    2. Understand how our site and tools are being used

    3. Improve features and personalize content

    4. Measure and analyze site performance

    Some cookies are essential to the proper functioning of the Service, while others are optional and help us improve. You can manage your cookie preferences through your browser settings or device controls.

    By continuing to use CoBlack’s website or Services, you consent to our use of cookies in accordance with this section and our Privacy Policy.

  • (a) Changes to the Terms
    CoBlack may update or change these Terms of Use at any time by posting the revised version on our website or by providing notice in another appropriate way. If we make material changes, we will notify you as required by law. By continuing to use CoBlack after updated Terms are posted, you agree to be bound by the new version. If you do not agree with the changes, you must stop using the platform. We encourage you to review these Terms regularly so you’re aware of any updates.

    (b) Changes to the Service
    We may update, modify, or discontinue any part of the CoBlack platform at any time, without notice. If you disagree with a change, your only option is to stop using the service. Continued use means you accept the updated version. Some features may only be available on specific platforms (for example, desktop but not mobile). CoBlack is not responsible for any losses or issues that may result from modifying, suspending, or ending the service.

    (c) Paid Subscriptions
    If you use a paid subscription, we may change the price or features of that subscription. When we do, we’ll notify you by email or another suitable method before the change takes effect. The new price or features will apply to your next billing cycle. If you don’t agree to these updates, you can cancel your subscription by following the cancellation process described in the Cancellations section below.

    (d) Additional Terms
    Certain features or services may have their own additional terms. You’ll be shown these terms when you use those features. By using them, you agree to follow those additional terms. If there’s a conflict between these Terms of Use and the additional terms, the additional terms will apply to that specific feature.

  • As long as you follow these Terms, you may use CoBlack’s platform and services. These Terms apply to everyone who accesses the service, including both visitors and registered users. CoBlack reserves the right to suspend or close any account that violates our Terms, misuses our service, or conflicts with our mission — at our sole discretion.

    (a) Visitors

    Visitors can browse and search the site, but must still follow these Terms and our Privacy Policy while doing so.

    (b) Registered Users

    When you create an account (“Registered User”), you agree to use CoBlack only for your personal, individual, and non-commercial purposes. You may not share, copy, sell, or redistribute any content from CoBlack — including job listings — to third parties or on other websites.

    (c) Registration and Account Security

    When signing up, you must provide accurate, current, and complete information about yourself and keep it up to date. You’re responsible for everything that happens through your account, and you must keep your login credentials private.
    If you suspect unauthorized access to your account, change your password immediately and contact us at support@coblack.com. Always log out at the end of your session.

    If CoBlack believes that your information is inaccurate or incomplete, or if we detect misuse or suspicious activity, we may suspend or terminate your account. We may also ask you to change your username or password if we consider them insecure.

    We reserve the right to take legal action, remove content, or terminate access if you breach these Terms or if we can’t verify your registration information. CoBlack may also remove or reclaim usernames at any time, for example if someone else claims a legal right to them.

    If you create an account on behalf of someone else or a company, you confirm that you have the legal authority to do so and to bind that person or entity to these Terms.

    (d) Access Through Third-Party Services

    You may have the option to sign up or connect your CoBlack account through third-party platforms (for example, social media or job boards). If you do, you authorize CoBlack to access certain information from that third-party account as allowed by their terms and privacy settings.

    You are responsible for your relationship with any third-party service, and their terms will govern your use of their platform. CoBlack is not responsible for any information shared with us in violation of your third-party privacy settings or for any content provided by those services.

    If a third-party account becomes unavailable or access is revoked, the related features on CoBlack may stop working.

    (e) Product Testing and Development

    To improve your experience, CoBlack may occasionally test new features, tools, or layouts. These A/B tests may vary by user and may sometimes cause temporary issues or errors. If you experience problems or have feedback, please contact support@coblack.com.

  • As a registered user, you may upload, post, share, or otherwise provide information and materials through CoBlack’s platform. This includes your profile details, résumé, work and education history, posts, messages, photos, videos, company information, feedback, testimonials, or any other material you submit (“User Content”). You are solely responsible for the accuracy and legality of your User Content.

    You always retain ownership of your User Content. However, by submitting or sharing it through CoBlack, you grant us certain rights so we can operate, improve, and promote our services.

    (a) License You Grant to CoBlack

    By uploading or providing User Content, you grant CoBlack Corp and its affiliates a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, transferable, and sublicensable license to use, copy, adapt, modify, distribute, display, and perform your User Content in connection with operating, promoting, and improving our services.

    This includes the right to reproduce or modify your content so it can be displayed properly across different devices, media, and networks. We may also use your content to personalize your experience, enhance our algorithms, and show you or others relevant job opportunities or tools.

    If you share feedback, testimonials, or success stories, you allow CoBlack to use them for marketing or promotional purposes unless you explicitly tell us otherwise when you submit them.

    Each user of CoBlack also receives a limited, non-exclusive right to view and interact with your publicly available content in accordance with these Terms.

    These licenses continue even if you delete your content from CoBlack, to the extent required for legitimate business, legal, or technical reasons (for example, backup or compliance).

    (b) Moral Rights

    To the extent allowed by law, you waive any “moral rights” (such as rights of authorship or integrity) in your User Content and confirm that no such rights have been asserted.

    (c) Agency Appointment

    You authorize CoBlack to take any steps reasonably necessary to confirm or enforce the license, permissions, and waivers described here.

    (d) Your Warranties

    You represent and warrant that:

    • You own or have the right to share the User Content you provide.

    • Your content does not infringe anyone else’s intellectual property, privacy, or other rights.

    • Your content does not violate any law or these Terms.

    (e) No Obligation of Confidentiality

    Except where required by our Privacy Policy, CoBlack is not bound by any confidentiality obligation regarding your User Content.

    (f) Acceptable Use

    All User Content must comply with our Acceptable Use Policy, which outlines the rules for appropriate behavior and content on CoBlack.

  • You can manage your CoBlack account in two ways — by deactivating it temporarily or deleting it permanently.

    (a) Deactivating Your Account

    You can deactivate your account at any time using the built-in account settings. Deactivation pauses your access and hides your profile from activity within the platform. However, deactivation does not remove any of your data.

    When your account is deactivated, CoBlack continues to securely store your information, including uploaded content, analytics data, and related materials. You can reactivate your account at any time by logging back in, and your profile will be restored exactly as it was.

    (b) Deleting Your Account

    If you want to permanently remove your information, you must send an email request to support@coblack.com. Once we receive and verify your request, we will begin the deletion process.

    When your account is deleted:

    • Your data will no longer be visible to you or connected to your account.

    • CoBlack will retain your data for six (6) months after deletion. During this period, you may reactivate your account and recover your full profile.

    • After six months, all data will be permanently deleted from our systems, and your profile cannot be recovered. You will need to create a new account to use the service again.

    (c) Data Usage and Retention

    CoBlack does not operate a public-facing user directory. However, information you upload (such as job preferences, résumés, or other career data) may be used internally to improve our products, train our AI models, or perform analytical evaluations.

    CoBlack retains the right to securely store and use aggregated or anonymized portions of user data that help us evaluate performance, enhance features, and grow our services. This data does not include personally identifiable information once your account has been permanently deleted.

    (d) Account Suspension and Termination by CoBlack

    CoBlack may suspend, deactivate, or permanently delete your account at its sole discretion if you violate these Terms or our Acceptable Use Policy.

  • This section explains CoBlack’s Acceptable Use Policy (“AUP”). It sets clear rules for how users must behave on the platform and what types of content and activity are not allowed. Using CoBlack means you agree to follow this AUP. If you do not agree, you must stop using the service immediately.

    The Service must always be used in a way that aligns with CoBlack’s purpose and our Terms of Use. This policy applies to everyone who uses CoBlack, including visitors, registered users, and partners.

    (a) Summary of Generally Prohibited Conduct

    You may not use CoBlack to upload, store, distribute, or share any material that:

    1. Breaks any applicable law or regulation.

    2. Interferes with or negatively affects CoBlack or its users.

    3. Could expose CoBlack Corp to criminal or civil liability.

    4. Violates, infringes upon, or misuses the rights of others — including privacy, publicity, and intellectual property rights.

    You are also prohibited from helping or encouraging anyone else to violate these rules or any applicable policy.

    (b) Responsible Use of the Service

    Use CoBlack responsibly. You may only use the platform for lawful, work-related, and appropriate purposes. You may not upload or distribute any unlawful or harmful material, and you may not collect or store personal information from other users.

    If a third party claims that something you uploaded is unlawful, you are responsible for proving that it is not. Everything posted, uploaded, or transmitted through CoBlack is the sole responsibility of the user who shared it — not CoBlack.

    (c) Content Limitations

    You must not upload, post, or transmit any content — including résumés, cover letters, job listings, or comments — that in CoBlack’s opinion:

    1. Libels, defames, harasses, stalks, threatens, or otherwise offends others.

    2. Is obscene, pornographic, violent, racist, or otherwise inappropriate.

    3. Exploits or endangers minors.

    4. Violates or infringes upon any copyright, trademark, or other rights.

    5. Discloses confidential or proprietary information without authorization.

    6. Promotes illegal activity or encourages harm.

    7. Misrepresents your identity or impersonates another person.

    8. Solicits funds, advertisers, or sponsors without permission.

    9. Contains malware, viruses, or harmful code.

    10. Disrupts conversations, user experience, or system performance.

    11. Copies pages, files, or content from CoBlack without authorization.

    12. Uses CoBlack’s space for unrelated “data warehousing” or bulk file storage.

    13. Links to websites that contain or promote prohibited content.

    14. Attempts to remove or alter CoBlack’s branding, sponsorships, or interface elements.

    PLEASE BE AWARE THAT COBLACK FULLY COOPERATES WITH LAW ENFORCEMENT AND WILL REPORT ANY SUSPICIOUS OR ILLEGAL ACTIVITY.

    (d) System Abuse

    Without limitation, you agree not to:

    1. Send spam, “mailbombs,” or unsolicited mass emails.

    2. Violate the U.S. CAN-SPAM Act or other anti-spam laws.

    3. Copy, distribute, or alter CoBlack’s content except as necessary for intended use.

    4. Use bots, scrapers, crawlers, or other automated systems to collect data or content.

    5. Interfere with or damage the functionality of CoBlack or its connected networks.

    6. Gain unauthorized access to other accounts or systems.

    7. Reverse engineer, decompile, or tamper with CoBlack’s software or protocols.

    8. Post false information, impersonate others, or create fake accounts.

    9. Use CoBlack data to build or support a competing service.

    10. Exploit bugs or errors for personal advantage.

    11. Resell, lease, or otherwise commercialize access to CoBlack without permission.

    You are also expressly prohibited from forwarding job postings or using any job listing for commercial purposes. The CoBlack platform is meant for individuals seeking employment.

    To protect fair access for all users, CoBlack may limit job application activity to 1,000 applications per month per user.

    (e) Security Violations

    You may not attempt to compromise CoBlack’s security or that of any user. This includes the use or distribution of tools designed to break passwords, probe networks, or gain unauthorized access.

    If you are involved in a security violation, CoBlack reserves the right to share relevant information with system administrators or law enforcement to assist in resolving the issue.

    f) Responsibility for User Content

    CoBlack is not responsible for user-generated content and does not control or endorse any opinions, statements, or materials posted by users. We do not have an obligation to monitor user activity but reserve the right to do so.

    By using CoBlack, you agree that:

    1. You have no expectation of privacy in communications made through the service (including chats or comments).

    2. CoBlack may, at its sole discretion, pre-screen, review, remove, or restrict access to any user content.

    3. CoBlack may provide tools for flagging inappropriate content but is not required to remove any flagged material.

    Violations of this Acceptable Use Policy may be reported to support@coblack.com.

  • CoBlack’s platform displays and recommends job opportunities that may match your skills, preferences, and profile information. These recommendations are generated through automated tools and may include listings shared directly by employers or sourced from external job sites.

    CoBlack reserves the right, at its discretion, to remove job postings, user content, résumés, or other materials from the service. However, we are not obligated to do so and are not liable for any decision to remove—or not remove—such content.

    We encourage you to use your best judgment when reviewing or applying to job listings. Always exercise caution and report any suspicious, fraudulent, or scam job postings immediately to support@coblack.com.

    Please note that job listings may expire, close, or be removed after you have submitted an application. CoBlack does not control employer websites, systems, or hiring processes, and we cannot guarantee that any application submitted through our platform will be properly received, reviewed, or processed by the employer. If you believe your application was not received, we recommend contacting the employer directly.

    You acknowledge that your job search results depend on many factors beyond CoBlack’s control — including market conditions, hiring practices, interview performance, and compensation expectations. CoBlack provides tools and recommendations to support your job search, but you remain solely responsible for all employment decisions, applications, and outcomes.

  • CoBlack’s platform includes tools powered by artificial intelligence (AI), including large language models and other automated systems (“AI Tools”). These tools may help generate responses, recommendations, or application materials based on the information you share with us.

    CoBlack makes these AI features available to improve your experience — but their use involves inherent uncertainty. By using these features, you agree that all outputs are provided “as is” and that you use them at your own risk. CoBlack is not liable for any errors, omissions, or outcomes that may result from AI-generated content.

    (a) Inputs, Prompts, and Outputs

    As a registered user, you may upload or share text, documents, résumés, images, or other materials (“Inputs”). These Inputs become part of your User Content and may be processed by CoBlack’s AI Tools using specific prompts, instructions, or context to generate related results (“Outputs”).

    You understand and agree that:

    1. The quality and accuracy of the Outputs depend on your Inputs and feedback.

    2. AI Tools may occasionally generate incorrect, incomplete, or inappropriate responses.

    3. AI technology is still developing, and its results may not always reflect intended actions or outcomes.

    4. You must review and verify all Outputs before using them.

    Any Output you choose to use is your sole responsibility. CoBlack, its affiliates, and its employees do not endorse, verify, or guarantee the accuracy or suitability of AI-generated content.

    (b) Third-Party Services and Data Processing

    Some AI features may use third-party models, APIs, or integrations. By using these tools, you acknowledge and agree that:

    1. Your information may be processed by third-party providers to enable AI functionality.

    2. CoBlack is not responsible for the accuracy, security, or operation of third-party systems.

    3. You must comply with all applicable laws and our Acceptable Use Policy when submitting Inputs.

    By providing personal information, résumés, or application materials, you authorize CoBlack to process and share your information with potential employers to complete job applications on your behalf. This may include sensitive personal information relevant to the application.

    If you want an employer to delete or modify your information, you must contact that employer directly.

    (c) Limitations and Acknowledgments

    You acknowledge that AI technologies are probabilistic and experimental. They may produce incorrect or misleading results. CoBlack does not control or guarantee the performance of these tools and disclaims all liability for any damages, losses, or inconveniences arising from your use of AI-generated content.

    The outputs generated by AI Tools do not represent the opinions or positions of CoBlack Corp, its affiliates, or its employees.

    (d) Anti-Bot and Verification Systems

    Some employers use anti-bot detection technologies — including Google reCAPTCHA or similar systems — to block automated submissions. These tools may prevent automated assistance or delay application submissions.

    You understand and agree that CoBlack is not responsible for any issues caused by these security systems, including:

    1. Inability to access or use services due to anti-bot systems,

    2. Incorrect identification of legitimate user activity as automated, or

    3. Delays or failures in submitting applications.

  • From time to time, CoBlack may make available certain new or experimental features, products, or tools (“Beta Features”) to selected users for testing and feedback. Beta Features are provided for evaluation purposes only, may contain errors or inaccuracies, and may not function as intended.

    You understand and agree that:

    1. Beta Features are offered “as is” and without any warranty or guarantee, whether express or implied.

    2. CoBlack may modify, limit, or discontinue any Beta Feature at any time without notice.

    3. Any feedback you provide regarding Beta Features may be used by CoBlack to improve its products and services without obligation to you.

    4. Access to Beta Features does not create any obligation on CoBlack to continue offering or to release them publicly.

    Your use of any Beta Feature is at your own risk and remains subject to these Terms of Use and any additional instructions or conditions provided by CoBlack.

  • When you purchase any CoBlack service that requires payment—either as a one-time transaction or through a subscription—you agree to pay all applicable fees and taxes as they become due. Payments may be processed by CoBlack’s trusted third-party payment vendors, who may securely store your payment information to support ongoing billing and account management.

    Your credit card provider may offer an automatic update service that refreshes your card details when they change. This service is managed by your card provider and not by CoBlack.

    (a) Billing and Recurring Payments

    All recurring payments are billed at the rate displayed at the time of your purchase. The specific billing terms for your subscription will appear on the offer page or checkout screen when you subscribe.

    By choosing a subscription or recurring payment plan, you agree to those billing terms and authorize CoBlack to charge your selected payment method on a recurring basis (for example, monthly or annually).

    If your payment method fails to process, you authorize CoBlack to attempt to charge any available balance on your card or another valid payment method on file. Any unpaid balance will remain your responsibility.

    Your obligation to pay continues until the end of your subscription term, even if you cancel mid-term. Subscription fees are non-refundable except as required by law or as expressly stated by CoBlack.

    (b) One-Time Purchases

    For one-time or on-demand services, CoBlack will charge your payment method immediately upon purchase. These transactions are final once processed.

    (c) International Transactions

    If you use a payment method issued outside the United States, your transaction may be subject to currency conversion rates, foreign exchange fees, or other charges from your bank or card issuer. CoBlack is not responsible for any such fees or rate differences and will not provide reimbursement for them.

    CoBlack does not support every payment method, currency, or billing location. It is your responsibility to ensure that your payment information is valid and up to date. If your card expires or becomes invalid and you do not update your details, CoBlack may continue billing the same method until updated or cancelled.

    All taxes and fees are calculated based on the billing information you provide at checkout.

    (d) Price Changes

    CoBlack may update prices for its services at any time, following the notification terms described in Section 4 (“Modifications to the Terms or to the Service”). Any price changes for existing subscriptions will take effect after you are notified and your next billing cycle begins.

  • Your CoBlack subscription automatically renews based on the plan and billing cycle you selected when signing up. If you do not cancel before your next renewal date, your subscription will automatically renew and your payment method on file will be charged for the following term.

    You are solely responsible for managing and canceling your subscription. CoBlack does not offer prorated refunds or credits for unused portions of a billing period.

    All cancellations must be completed through the Settings section of your CoBlack account. Once your cancellation is processed, you will receive an on-screen confirmation and an email confirming that your subscription has been canceled. If you do not receive this confirmation, please ensure your cancellation was successfully completed within your account settings.

    If CoBlack offers a trial period, you may cancel through the Settings page before the trial ends to avoid being charged. Once the trial period has expired, refunds are not guaranteed.

    Please note that canceling, pausing, or suspending your subscription does not withdraw or delete any job applications already submitted to potential employers. Those applications remain with the employer.

  • Except for your own User Content and that of other registered users, you acknowledge that CoBlack Corp and its affiliates, licensors, and partners own all rights, title, and interest in and to the CoBlack platform, including all software, code, systems, data, tools, designs, and related intellectual property.

    All content and materials available on or through CoBlack—including text, graphics, logos, icons, user interfaces, software, and documentation (collectively, the “Materials”)—are protected by copyright, trademark, trade secret, and other intellectual property laws in the United States and internationally.

    You may not copy, modify, reproduce, republish, post, transmit, sell, or distribute any Materials or underlying code without prior written permission from CoBlack and, where applicable, our licensors. All rights not expressly granted under these Terms are reserved.

    You must comply with all copyright notices and usage restrictions attached to any CoBlack content or tools. Nothing in these Terms gives you ownership of or rights to access CoBlack’s source code, proprietary methods, or technical systems, except as required to use the platform in accordance with these Terms.

    Certain names, logos, taglines, visual styles, and other distinctive brand elements appearing on CoBlack are trademarks or trade dress owned by CoBlack Corp or its partners. All other trademarks appearing on the platform belong to their respective owners. You are not authorized to use any CoBlack trademarks or logos without prior written consent.

    You may not copy, distribute, publicly perform, display, or create derivative works from any copyrighted material available through CoBlack without obtaining written permission from the copyright owner. You also may not remove, obscure, or alter any copyright, trademark, or other proprietary notices included in CoBlack’s content or interface.

  • Your right to use CoBlack and any materials, software, or other content available through the platform (“Materials”) depends on your compliance with these Terms of Use. Any use, reproduction, or modification of CoBlack’s Materials for purposes not expressly permitted in these Terms violates our intellectual property rights and is strictly prohibited.

    You may access, view, download, and display CoBlack Materials only for your own personal, non-commercial use on a single device. You may not otherwise copy, reproduce, republish, upload, post, transmit, distribute, license, or use CoBlack content in any way without our prior written permission.

    If CoBlack grants you permission to download or copy certain Materials, that authorization applies only to a single copy for your personal, non-commercial use, and only if you keep all copyright and proprietary notices intact.

    Using CoBlack’s Materials on any other website, app, or networked system is prohibited. You may not decompile, reverse engineer, disassemble, or otherwise attempt to access the underlying code or structure of any software or feature used by CoBlack.

  • CoBlack may include community spaces—such as discussion boards, chat rooms, comment sections, or other interactive areas (“Forums”)—where users can share feedback, insights, and ideas. These spaces are provided to encourage open discussion among users.

    However, CoBlack cannot guarantee that other users will not use or copy the ideas, comments, or information you share in these Forums. If you have confidential or proprietary information that you do not want others to access or use, do not post it publicly on the platform. Anything you share in a Forum is done at your own risk.

    CoBlack reserves the right—but is not obligated—to monitor, review, edit, or remove posts and materials shared in Forums. We may also disclose such information if required to operate the platform properly, comply with the law, or respond to legal or governmental requests.

    Please be aware that CoBlack’s Forums are open to many users, and we cannot control what others post. You may encounter information, opinions, or comments that are inaccurate, misleading, offensive, deceptive, or unlawful. CoBlack does not endorse or take responsibility for any statements, advice, or opinions expressed by users in these areas. The views shared in Forums belong solely to the users who post them and do not represent CoBlack’s views or opinions.

    CoBlack is not responsible for:

    1. Errors or omissions in user postings,

    2. Hyperlinks or references included in user messages, or

    3. Any loss or damage that results from your reliance on information found in Forums.

    ANY USE OF THE FORUMS IS AT YOUR OWN RISK AND SUBJECT TO ALL DISCLAIMERS AND LIMITATIONS OF LIABILITY SET FORTH IN THESE TERMS.

  • From time to time, CoBlack may invite users to share ideas, feedback, or suggestions through promotions, surveys, beta programs, or other special initiatives (“Invited Submissions”). These submissions are considered part of your User Content and are governed by the same rules outlined in these Terms.

    If Additional Terms apply to a specific invitation or promotion, please review them carefully — those terms will take precedence where applicable. If no Additional Terms are provided, these Terms of Use will apply in full.

    Please note that any material, idea, or suggestion you submit to CoBlack will not be treated as confidential. Regardless of any industry custom or expectation, CoBlack is not obligated to compensate you for any ideas, feedback, or materials you provide.

    CoBlack may freely use Invited Submissions for any purpose, including improving our services, developing new features, or showcasing user feedback as testimonials.

  • CoBlack respects the intellectual property rights of others and expects all users to do the same. We comply with the U.S. Digital Millennium Copyright Act (DMCA) and other applicable laws.

    We may remove or disable access to material that infringes another party’s intellectual property rights and may suspend or terminate accounts of repeat infringers where appropriate.

    (a) Submitting a Copyright or IP Complaint

    If you believe that content on CoBlack infringes your copyright or other intellectual property rights, please send a written notice to CoBlack’s designated agent:

    To help us act quickly, your written notice must include:

    1. Your physical or electronic signature.

    2. Identification of the copyrighted work or IP right you claim has been infringed.

    3. A clear description of the material you believe is infringing, and where it is located on CoBlack.

    4. Your contact information, including name, address, phone number, and email.

    5. A statement that you have a good-faith belief that the use of the material is not authorized by the rights owner, its agent, or the law.

    6. A statement, made under penalty of perjury, that the information you provide is accurate and that you are authorized to act on behalf of the copyright or IP rights owner.

    If your report does not relate to intellectual property infringement, our DMCA agent may not be able to respond.

    (b) Submitting a Counter-Notification

    If your content has been removed or disabled as a result of a copyright complaint and you believe this was an error or misidentification, you may file a counter-notification that includes:

    1. Your physical or electronic signature.

    2. Identification of the material that was removed and its previous location.

    3. A statement under penalty of perjury that you believe the material was removed or disabled by mistake.

    4. Your name, address, phone number, and consent to the jurisdiction of the U.S. federal court where you live (or, if outside the U.S., where CoBlack is located), and your agreement to accept service of process from the party who filed the original complaint or their agent.

    Upon receiving a valid counter-notice, CoBlack may restore the material unless the original complainant seeks a court order.

    (c) Repeat Infringers

    CoBlack reserves the right to suspend or terminate the accounts of users who repeatedly violate the intellectual property rights of others.

    (d) Limitation of Liability

    CoBlack seeks to preserve all legal protections and safe harbor exemptions available under U.S. copyright law. However, inclusion of this policy does not constitute an acknowledgment that CoBlack is a “service provider” as defined under 17 U.S.C. §512(c).

  • You are solely responsible for your interactions with other users, employers, or any third parties you connect with through CoBlack. CoBlack does not control or verify the conduct, information, or intentions of users or employers, and we are not responsible for disputes or outcomes that result from these interactions.

    If you have a dispute with another user, employer, or third party, you agree to release CoBlack Corp, its affiliates, officers, employees, and agents from any and all claims, demands, damages, liabilities, losses, or expenses — whether known or unknown — arising from or related to those disputes.

    By agreeing to this release, you expressly waive any legal protections (whether statutory or otherwise) that would limit the scope of this waiver to only known claims.

    If you are a California resident, you specifically waive the protections of California Civil Code §1542, which states:

    “A general release does not extend to claims that the creditor does not know or suspect to exist in their favor at the time of executing the release, which, if known, would have materially affected their settlement with the debtor.”

    If, during your use of CoBlack, you encounter any material that seems offensive, misleading, or inaccurate, please notify us through the Settings → Support section of your account or by emailing support@coblack.com.

  • Your use of CoBlack is at your own risk. The platform, including all features, materials, software, data, and information available through it, is provided “as is” and “as available” without any warranties of any kind.

    To the fullest extent permitted by law, CoBlack Corp and its affiliates, officers, employees, and agents (the “CoBlack Group”) expressly disclaim all warranties, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or freedom from viruses or other harmful code.

    CoBlack does not warrant that:

    1. The platform or any of its features will always be available, uninterrupted, or error-free;

    2. Any defects will be corrected;

    3. The servers or systems used by CoBlack are free from viruses, malware, or other harmful components; or

    4. The information, content, or materials available through CoBlack are accurate, reliable, or complete.

    CoBlack makes no representations that your use of the platform or any materials provided will not infringe on the rights of others, nor does it assume responsibility for any errors, omissions, or inaccuracies in the content or materials made available through CoBlack or linked third-party websites.

    Some jurisdictions do not allow the exclusion of certain implied warranties. In those cases, this disclaimer applies only to the extent permitted by applicable law.

    Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence or for any other liability that cannot be excluded under applicable law.

  • To the fullest extent permitted by law, CoBlack Corp and its affiliates, officers, employees, and agents (the “CoBlack Group”) disclaim all liability arising from or related to your use or inability to use the CoBlack platform.

    This includes any and all claims based on contract, tort (including negligence), strict liability, or any other legal theory. CoBlack is not responsible for any loss or damage of any kind — whether direct, indirect, incidental, consequential, special, punitive, exemplary, or otherwise — even if CoBlack has been advised of the possibility of such damages.

    This limitation applies to all losses or damages arising from:

    1. Your access to or use of CoBlack, including any errors, interruptions, or technical issues;

    2. Your reliance on any materials, content, or information available through the platform;

    3. Any dealings, communications, or disputes with other users or third parties; and

    4. Any loss of data, business opportunities, or profits.

    You agree that you, and not CoBlack, assume all costs associated with servicing, repairing, or correcting any damage that may result from your use of the platform.

    Because user authentication and online interactions can be difficult to verify, CoBlack cannot guarantee that every user or employer is who they claim to be. You are solely responsible for your interactions and transactions with other users, and by using CoBlack you release CoBlack Corp and its employees from any and all claims or damages — known or unknown — that arise from such interactions or disputes.

    CoBlack makes no guarantees about specific results or outcomes from using the platform, and no advice or information (whether oral or written) from CoBlack creates any warranty not expressly stated in these Terms.

    To the fullest extent allowed by law, CoBlack’s maximum total liability for any claim related to your use of the platform or CoBlack content will not exceed fifty U.S. dollars ($50.00).

    If applicable law does not allow parts of this limitation to apply to you, it will apply only to the maximum extent permitted under that law.

  • To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless CoBlack Corp, its officers, directors, employees, agents, affiliates, and partners (collectively, the “CoBlack Group”) from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses — including reasonable attorneys’ fees — that arise from or relate to:

    1. Your breach of these Terms of Use or any applicable law;

    2. Your violation of any rights of another person or organization;

    3. Any content or materials you upload, share, or transmit through CoBlack; or

    4. Your use or misuse of your CoBlack account.

    This indemnity obligation applies regardless of whether the claim arises in contract, tort, or otherwise, and continues even after your account is closed or these Terms are terminated.

  • CoBlack reserves the right to investigate any suspected violation of these Terms of Use, including but not limited to issues arising from user submissions, posts, or messages shared through CoBlack’s community areas.

    We may gather information from any user suspected of violating these Terms and from others who may have relevant information. During an investigation, CoBlack may suspend accounts, restrict access, or remove materials from our systems if we believe it is necessary to protect the platform or its users.

    If CoBlack determines, in its sole discretion, that a violation has occurred, we may take any corrective action permitted by law, including deleting content, suspending accounts, or reporting the matter to authorities.

    CoBlack will fully cooperate with law enforcement, regulatory agencies, and court orders that request or require disclosure of user information connected to potential violations of law or these Terms.

    By agreeing to these Terms, you waive and hold harmless CoBlack Corp, its affiliates, employees, and agents from any claims or damages resulting from actions taken during investigations or from actions taken as a consequence of investigations by CoBlack or law enforcement authorities.

  • CoBlack may contain links to third-party websites or services that are not owned, operated, or controlled by CoBlack Corp. These external sites may include job boards, employer pages, candidate profiles, or other resources — some of which may contain material that others find inaccurate, outdated, or offensive.

    CoBlack does not control, endorse, or take responsibility for the content, accuracy, legality, decency, or security of any third-party website, including any job postings, employer information, or candidate materials displayed there. The inclusion of a link on CoBlack does not imply endorsement or affiliation with the third-party operator.

    If you choose to access or interact with a third-party site, you acknowledge that:

    1. You are leaving CoBlack’s platform; and

    2. Your use of that site is governed solely by the terms of service and privacy policies of the third party.

    CoBlack makes no representations or warranties about the security of any personal or financial information (including credit card data) you may be asked to provide to third parties. You agree that CoBlack Corp is not responsible for any damages, losses, or issues arising from your use of or reliance on third-party websites or services.

    We strongly encourage you to exercise caution when sharing sensitive information — such as social security numbers, banking details, or personal identification — with any third party and to verify their legitimacy before proceeding with any interaction.

  • To the fullest extent permitted by law, these Terms of Use and any dispute, claim, or controversy arising from or relating to them — including their interpretation, validity, formation, or enforcement — will be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law principles.

    If any dispute between you and CoBlack proceeds in court rather than arbitration, both parties agree that such proceedings will take place exclusively in the state or federal courts located within the State of Delaware, and each party consents to the personal jurisdiction of those courts.

    These Terms will not be governed by or subject to the United Nations Convention on Contracts for the International Sale of Goods.

  • PLEASE READ THIS SECTION CAREFULLY.


    It affects your legal rights, including your right to file a lawsuit or have a jury trial. This section requires most disputes between you and CoBlack Corp to be resolved through binding individual arbitration, and includes a waiver of class actions and jury trials.

    (a) Scope of the Arbitration Agreement

    You and CoBlack agree that any dispute, claim, or controversy between you and CoBlack Corp (collectively, a “Dispute”)—whether based in contract, tort, statute, regulation, or otherwise—arising out of or relating to these Terms of Use, your use of CoBlack, or any related services or content, will be resolved exclusively through final and binding arbitration instead of in court.

    By entering this agreement, both you and CoBlack waive the right to a jury trial and agree that all claims must be brought on an individual basis—not as part of any class, collective, or representative action.

    “Dispute” is defined broadly and includes any claim, controversy, or issue arising from or related to your relationship with CoBlack, regardless of when it arose.

    (b) Informal Dispute Resolution

    Before filing an arbitration claim, both you and CoBlack agree to attempt to resolve the dispute informally.


    To start this process, you must send a written notice describing the issue, including relevant facts and documents, to legal@coblack.com.

    CoBlack will send any notices to your most recent contact information on file. Both parties agree to try to resolve the dispute in good faith for 60 days before starting arbitration. This step is a required condition precedent to filing for arbitration.

    (c) Arbitration Process

    If a dispute is not resolved through the informal process, it will be settled by binding arbitration in English, administered by JAMS under its Streamlined Arbitration Rules and Procedures (“JAMS Rules”). If JAMS is unavailable, arbitration will be conducted by the American Arbitration Association (AAA) under its applicable rules.

    A single neutral arbitrator will preside over the case. The arbitrator—not a court—will have exclusive authority to interpret and enforce this arbitration agreement, including any issues about its scope, validity, or applicability.

    Arbitration will take place in Delaware, unless both parties agree otherwise in writing. The arbitrator’s decision will be final and binding, and may be entered as a judgment in any court of competent jurisdiction.

    Arbitration will be conducted on an individual basis only—not as a class action or class arbitration.

    (d) Exceptions

    This arbitration requirement does not apply to the following:

    1. Small claims cases that qualify under Delaware’s small claims court limits, if brought as an individual action;

    2. Requests for injunctive relief, including public injunctive relief; or

    3. Intellectual property disputes, such as claims involving copyrights, trademarks, or trade secrets.

    Any court proceedings related to these exceptions will take place exclusively in the state or federal courts of Delaware, and both parties consent to those courts’ jurisdiction.

    (e) Costs of Arbitration

    Arbitration fees and costs will follow the JAMS Rules. If arbitration costs would make the process prohibitively expensive, CoBlack will pay the portion deemed necessary by the arbitrator to make arbitration accessible.

    Each party will pay its own legal fees unless the arbitrator awards fees under applicable law. If the arbitrator determines that your claim was frivolous or brought for an improper purpose, you agree to reimburse CoBlack for its arbitration costs.

    (f) Opt-Out Option

    You may opt out of this arbitration agreement by sending a written notice to legal@coblack.com.

    Your opt-out notice must be received within 30 days of your first acceptance of these Terms. If you opt out, you will retain the right to litigate claims in court, but you will still be bound by the class action waiver below.

    (g) Class Action Waiver

    To the fullest extent permitted by law, both you and CoBlack agree that all disputes will be resolved only on an individual basis. You may not bring claims as a plaintiff or class member in any purported class, collective, consolidated, or representative action.

    The arbitrator cannot combine or aggregate claims or preside over any form of class proceeding.

    If this class action waiver is found unenforceable, the entire arbitration agreement will be void as to that proceeding, and any such claims must be brought in a Delaware court.

    (h) Notice of Changes

    CoBlack may update this arbitration provision in the future. We will notify users of material changes, and you may opt out of those updates within 30 days by following the opt-out process above.

    If any part of this section (except the class action waiver) is found unenforceable, the remaining parts will continue in effect.

    Summary

    By agreeing to these Terms, you and CoBlack both:

    1. Waive the right to a jury trial;

    2. Agree to resolve most disputes through binding individual arbitration; and

    3. Waive the right to participate in any class, collective, or representative action.

  • CoBlack Corp makes no representation or warranty that the platform, its content, or its features are appropriate or available for use outside the United States. Accessing CoBlack from another country or region is done at your own discretion and risk.

    If you choose to use CoBlack from outside the United States, you are solely responsible for:

    1. Ensuring that your use complies with all local laws and regulations;

    2. Understanding any restrictions that may apply to online data collection or employment-related services in your jurisdiction; and

    3. Bearing any consequences or legal obligations that arise from accessing or using the platform internationally.

    CoBlack’s services are operated from the United States and are subject to U.S. laws and regulations.

  • By using CoBlack, you agree that all communications between you and CoBlack Corp may occur through electronic means. This includes email, in-app messages, SMS text messages (if you opt in), or notices posted on the CoBlack platform.

    For contractual and legal purposes, you:

    1. Consent to receive all communications from CoBlack electronically; and

    2. Agree that any agreements, notices, disclosures, or other communications sent electronically satisfy any legal requirement that such communications be in writing.

    This consent does not affect any rights you may have under applicable law to receive certain information in a non-electronic form.

    SMS Text Messages

    If you choose to receive SMS text message notifications, you consent to receive periodic messages from CoBlack at the phone number you provide. Message and data rates may apply, depending on your carrier.

    You can opt out of receiving text messages at any time by replying “STOP” to any message or by updating your preferences in your CoBlack account settings.

    CoBlack is not responsible for delays, delivery failures, or transmission errors of SMS messages, as these depend on your mobile carrier and network conditions. SMS services are provided on an “as is” basis, without any warranty, express or implied, including warranties of merchantability or fitness for a particular purpose.

  • Under California Civil Code Section 1789.3, California residents are entitled to the following consumer rights notice:
